AbstractThis case study allows students to apply their corporate law and ethical knowledge to a socially focused business in a global environment. The assignments provide opportunities for reflection on some of the challenges facing Ben & Jerry's as the company attempted to pursue corporate social responsibility in three separate, but related, international fact patterns. The case study addresses some of the misperceptions surrounding the role of corporate law in the takeover of Ben & Jerry's by the multinational conglomerate, Unilever, and the case study also addresses the practical implications of threatened shareholder lawsuits preceding an acquisition. Moreover, the case study seeks to provide students with a more nuanced understanding of the corporate purpose debate as this issue informs numerous policy and legal decisions. The case study considers how the international nature of the problems affects the situations. This case study prompts the discussion of numerous complex issues but will hopefully provide students of all levels with concrete examples of how seemingly abstract corporate law and ethical principles apply to business decisions.
